1. Introductory provisions

1. These General Terms and Conditions (hereinafter referred to as "GTC") regulate the relationship between the operator of the vzdelavaci-systemy.cz website (hereinafter referred to as "Operator") and the supplier of the LMS or other educational solution (hereinafter referred to as "Supplier"), which uses paid promotion services on the said website.
2. The Operator is limeway s.r.o., Hutařova 607/11, Žďár nad Sázavou, Czech Republic, ID: 04377087, VAT: 04377087, (hereinafter referred to as "Operator").
3. Supplier means a natural or legal person who is interested in promoting its product/service (LMS) and concludes an agreement with the Operator for paid advertising or a discounted profile.

2. Types of services offered

1. Verified Profile: an extended entry in the LMS Catalogue, allowing detailed description, screenshots, CTAs and "Verified" marking and extended entry in the Supplier Profile.
2. Top listing: order of preference on the LMS Catalog page.
3. Sponsored article: Publication of PR or other promotional text in the Blog section, marked as "Sponsored Content".
4. The Operator reserves the right to offer other services (e.g. advertising banners) in accordance with the current offer.

3. Order and formation of contract

1. The conclusion of a contract for the provision of a paid service (Verified Profile, Top Listing, Sponsored Article) is based on the Supplier's order and acceptance by the Operator (by e-mail or other written form).
2. In the case of a Verified Profile or a Sponsored Article, the Supplier will provide a draft text and other documents that the Operator will approve (or return for editing).
3. The Operator is entitled to refuse an order if:

a) the content is contrary to good morals or legislation,

b) is contrary to the standards of this site.

4. Payment terms

1. The price of services is governed by the current price list published on the vzdelavaci-systemy.cz website or agreed in the order.
2. Payment is made either on the basis of an advance invoice (in advance) or by agreement (e.g. monthly, annually).
3. The Operator is not obliged to start publishing the profile / article / listing until the payment has been credited to the Operator's account.
4. Prices are exclusive of VAT, unless explicitly stated otherwise.

5. Terms of publication and content

1. Verified profile: Supplier will supply the LMS Detail documents - text of max. 1× A4, maximum 6 images (screenshots), LMS logos and link for CTA (if requested). If requested, the Supplier will also supply the Supplier Detail documents, i.e. a maximum of 300 words of text, Supplier logo, Supplier contact details and a maximum of 6 images to be inserted into the Supplier Detail. The Operator has the right to shorten the text, modify the formatting or stylistics to fit the concept of the website.
2. Top Listing: the preferential ranking in the LMS Catalogue is based on the "auction" principle - each Supplier who pays for a Top Listing for a given period (3 months) "overtakes" the standard alphabetical ranking and is further advantaged by placement among other Verified Profiles. The higher the amount, the higher the Supplier is placed in the listing. At any time during the subscription period, another Supplier may appear who will pay a higher amount and thus move even higher than you. At the end of the quarter (or individually negotiated period), your placement is cancelled and you return to alphabetical order (or alphabetical order in the Verified Profiles section if you have it valid) unless you re-subscribe to the Top Listing. A valid Verified Profile is a prerequisite for Top Listing.Sponzorovaný článek: Dodavatel ručí za to, že je autorem textu nebo má práva k jeho publikaci. Dodavatel dodá text v rozsahu 300–1000 slov s maximálně 3 odkazy a maximálně 3 obrázky. Provozovatel označí článek zřetelně jako „Sponzorovaný obsah“. a obsažené odkazy v rámci HTML jako rel=“sponsored”. Zveřejnění sponzorovaného článku je garantováno na 12 měsíců, pak může být článek archivován či hypertextové odkazy v rámci článku zneplatněny. 
3. The Operator reserves the right to refuse content that would be contrary to the law, good morals or would damage the reputation of the Operator.

6. Rights and Obligations of the Parties

1. The Supplier is obliged to provide truthful and non-misleading information about itself, its LMS or service.
2. The Operator is not responsible for the accuracy of the information provided by the Supplier.
3. The operator does not guarantee sales results or a specific number of conversions. The promotion is used to increase visibility.
4. The operator strives for maximum availability of the website, but is not responsible for outages caused by force majeure, technical problems of hosting, etc.

7. Termination and cancellation

1. The contractual relationship can be terminated by agreement or by expiry of the subscription period (e.g. 12 months for the Verified Profile).
2. In the event of early termination for reasons on the Supplier's side, the amount paid shall not be refunded (unless otherwise agreed).
3. If the Supplier seriously violates these conditions (e.g. copyright infringement), the Operator may terminate the promotion immediately without compensation.

8. Claims and liability

1. If the Supplier discovers that its paid service (e.g. Verified Profile) is not functional or the content is incorrect, it has the right to request a correction (text correction).
2. The Operator shall remove or correct errors within a reasonable period of time.
3. The Operator shall not be liable for any damage caused by the non-functionality of the website (outages, server failures), unless it is gross negligence.

9. Final provisions

1. These GTC are governed by the laws of the Czech Republic.
2. The Operator reserves the right to change these GTC, and the amended version is effective from the date of publication on the vzdelavaci-systemy.cz website.
3. If any provision of these GTC is invalid or ineffective, the other provisions shall remain in force.
4. These GTC come into force on 1.1.2025
